Founder Holdings Continues Share Buyback; 50,000 Shares Repurchased on 4 September, Cumulative 1.25 Million Under 2026 Mandate

Founder Holdings Limited disclosed that it repurchased 50,000 ordinary shares on 4 September 2026 at HKD 0.58 per share, deploying HKD 29,000 in aggregate. All repurchased shares are slated for cancellation, and no treasury shares were retained.

The latest transaction keeps the company’s issued share capital steady at 1.15 billion shares, as the repurchased shares have not yet been cancelled.

Since the annual mandate was approved on 28 May 2026, Founder Holdings has bought back 1.25 million shares—about 0.10 % of the share base existing on the mandate date—against an authorised ceiling of 115.53 million shares.

Repurchases conducted between 8 June and 4 September 2026 remain outstanding for cancellation, with purchase prices ranging from HKD 0.56 to HKD 0.75 per share.

Under Hong Kong Stock Exchange rules, the company is restricted from issuing new shares until 4 October 2026, 30 days after the most recent buyback. Company Secretary Cheang Yee Wah Eva confirmed all repurchases complied with Main Board requirements and that no material changes have been made to the explanatory statement dated 16 April 2026.
