Anxian Yuan China Plans 7 Sept 2026 AGM; Seeks 20% Issuance Mandate, 10% Buy-Back Authority, Director Re-elections and Auditor Re-appointment

Anxian Yuan China Holdings Limited will hold its 2026 annual general meeting (AGM) on 7 September 2026 at 10:00 a.m. in Causeway Bay, Hong Kong. Shareholders on record as of 1 September 2026 are entitled to attend and vote.

Key resolutions:

1. Capital mandates • Issuance Mandate: authorisation for the Board to allot, issue or transfer treasury shares up to 20% of issued share capital, equivalent to a maximum of 444.27 million shares based on the 2.22 billion shares outstanding as of 17 July 2026. • Repurchase Mandate: authority to buy back up to 10% of issued shares, or 222.14 million shares. • Extension Mandate: any shares repurchased may be added to the issuance limit.

2. Board composition • Re-election of Deputy CEO and executive director Mr Law Fei Shing. • Re-election of independent non-executive director Mr Chan Koon Yung, who has served over nine years; his independence has been reaffirmed by the Nomination Committee.

3. Auditor • Proposal to re-appoint BDO Limited as external auditor for the year ending 31 March 2027. Audit fees for FY 2026 totalled HK$0.95 million, with FY 2027 fees expected at HK$0.95–1.00 million.

Voting at the AGM will be conducted by poll; no shareholders are required to abstain. Proxy forms must be lodged by 10:00 a.m. on 5 September 2026.
