Xiao Noodles completes 11.36 million-share buyback, equal to 1.60% of share capital

Guangzhou Xiao Noodles Catering Management Co., Ltd. (Xiao Noodles; HKEX: 02408) disclosed a Next Day Disclosure Return on 3 June 2026 confirming continued execution of its on-market share-repurchase programme.

• Capital structure unchanged: Issued H-share capital stood at 710.69 million shares as of 3 June 2026, with no treasury shares on hand.

• Aggregate repurchases: From 3 February to 3 June 2026, the company bought back 11.36 million H shares that remain outstanding for cancellation. The cumulative volume represents 1.60% of the share count in issue when the mandate was granted.

• Latest transaction: On 3 June 2026, Xiao Noodles repurchased 121,500 shares on the Hong Kong Stock Exchange at prices between HKD 4.23 and HKD 4.35, for a total consideration of HKD 0.52 million.

• Mandate utilisation: The current mandate, approved on 26 January 2026, authorises repurchases of up to 71.07 million shares. To date, 15.99% of this limit has been utilised.

• Compliance and moratorium: The board confirmed that all repurchases complied with Hong Kong listing rules. Under Rule 10.06(3)(a), the company is subject to a 30-day moratorium—running through 3 July 2026—on issuing new shares following the latest buyback.

No new share issuances, treasury-share sales, or other changes in share capital were reported.
