Top Education Group Ltd (1752) Announces Company Secretary Changes and Waiver from Listing Rules

Top Education Group Ltd (the “Company”) announced that, effective 21 November 2025, Ms. Min Ying will cease her roles as Company Secretary and Authorised Representative under the Listing Rules due to internal reorganisation and re-allocation of management functions. According to the announcement, Ms. Ying has no disagreement with the board of Directors, and there is no matter needing to be brought to the attention of shareholders.

Effective on the same date, the board of Directors has resolved to appoint Ms. Yan Li Yu and Ms. Wong Nga Sim as joint Company Secretaries. Ms. Wong will simultaneously serve as an Authorised Representative and as an additional authorised representative to accept service of process and notices in Hong Kong. The board noted that Ms. Yu has been handling the Company’s corporate and internal affairs since 2015, while Ms. Wong has accumulated over eight years of experience in the corporate secretarial field.

In connection with these appointments, the Stock Exchange has granted the Company a waiver from strict compliance with Rules 3.28 and 8.17 of the Listing Rules for three years, subject to Ms. Yu being assisted by Ms. Wong during the waiver period and compliance with the Listing Rules.

The board expressed gratitude to Ms. Ying for her valuable contribution and extended a warm welcome to Ms. Yu and Ms. Wong on their new appointments.
