九毛九（09922）日前披露公告，董事会建议授予购回股份及发行新股份的一般授权，并将于2026年6月5日（星期五）在中国广州市天河区珠江西路15号珠江城大厦53楼召开股东周年大会审议相关决议。
根据公告，九毛九国际控股有限公司（于开曼群岛注册成立的有限公司，主要于香港联合交易所上市，股票代码09922）拟向董事会授予不超过已发行股份（不包括库存股份）总数10%的购回授权。以目前公司已发行1,391,782,700股股份为基准，如于股东大会召开当日该信息保持不变，则最多购回139,178,270股股份，资金来源于公司内部资源，相关操作将依据开曼群岛及香港上市规则依法合规进行。
公告显示，董事会认为上述购回授权有助于提升每股资产净值或每股收益水平，并符合公司及其股东整体利益。由于公司此前已在联交所回购部分股份，过去12个月（自2025年4月至2026年4月）公司股价最高曾达3.43港元（2025年6月），最低为1.58港元（2025年12月）。九毛九称，所购回的股份可予注销或以库存股份形式持有，并不影响公司日常现金流需求。
值得注意的是，股东周年大会将于2026年6月5日下午2时30分举行，股东资格登记将于2026年6月2日至6月5日暂停办理过户手续。相关决议若获审批通过，董事会有权于授权期间内，依据上市规则和开曼群岛适用法规执行股份购回计划。
