Wai Hung Group Holdings Limited (Stock Code: 3321) has announced the appointment of two independent non-executive directors, effective 30 January 2026. According to the company’s statement, Mr. Yuan Fangjun and Mr. Zhou Zhengcheng will serve two-year terms and receive annual directors’ fees of HK$120,000 each, determined by the board based on the remuneration committee’s recommendations.

Mr. Yuan, aged 39, is a founding partner of Hunan Liyao Law Firm, where he is Executive Director and Party Branch Secretary. He has prior experience in investment management and currently teaches as an adjunct lecturer at the School of Administration under the State Administration for Market Regulation. He holds a Bachelor of Laws from the School of Liberal Arts and Law of Changsha University of Science and Technology.

Mr. Zhou, aged 43, has extensive management experience across business services, education consulting, logistics technology, and consumer services. He has previously chaired and served in key management roles at multiple companies. He obtained a degree in Business Administration from Southwest University of Science and Technology.

Alongside these appointments, the company has reconfigured its board committees with effect from 30 January 2026. Mr. Yuan has been named chairman of the nomination committee and member of the remuneration and audit committees; Mr. Zhou will join all three committees as a member. An additional change sees Ms. Chen Jianyu joining the nomination committee. The company states that with the expanded board composition, it complies fully with relevant Listing Rules requirements and the Corporate Governance Code.
