HUIJING HLDGS Sets 5 June 2026 AGM to Approve FY 2025 Results, Board Re-elections and Fresh Share Mandates

HUIJING HLDGS (Huijing Holdings Company Limited) has circulated its proxy form ahead of the Annual General Meeting (AGM) scheduled for 11:00 a.m. (Hong Kong time) on 5 June 2026 at Level 3, Great Eagle Centre, 23 Harbour Road, Hong Kong. Key items requiring shareholder approval are as follows:

1. FY 2025 Financial Statements • Shareholders will vote on the adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the reports of the directors and the independent auditor.

2. Board Composition and Remuneration • Re-election of four directors: – Independent Non-Executive Directors: Mr Chan Kin Man, Ms Ou Ningxin, and Mr Chen Guilin. – Executive Director: Mr Lun Chu Kwan. • Authorisation for the board to determine directors’ remuneration.

3. Auditor Re-appointment • Prism Hong Kong Limited is proposed for re-appointment as independent auditor, with the board empowered to fix its remuneration.

4. Share Capital Authorities • Share Repurchase Mandate: Directors may repurchase shares representing up to 10% of the company’s issued share capital. • Issuance Mandate: Directors may allot, issue and deal with shares up to 20% of the issued share capital. • Extension Mandate: The issuance limit may be increased by the number of shares repurchased under the above mandate.

5. Amendment to Articles of Association • A special resolution seeks approval to adopt a new Fourth Amended and Restated Articles of Association, replacing the existing version.

Voting Instructions Shareholders may appoint a proxy—defaulting to the chairman if none is named—by submitting the completed form to Tricor Investor Services Limited no less than 48 hours before the meeting. Completion of the proxy form does not preclude shareholders from attending and voting in person.

The AGM will determine the company’s governance slate, capital management flexibility and corporate constitution leading into the 2026 financial year.
