Tontine Wines: All AGM Resolutions Secure 100%–99.99% Support, Mandates Renewed

China Tontine Wines Group Limited (Tontine Wines) announced that all six ordinary resolutions tabled at its Annual General Meeting on 16 June 2026 were approved by poll, with support ranging from 99.99 % to 100.00 %.

A total of 90.16 million shares were voted, representing approximately 29.90 % of the 301.56 million shares outstanding. Tricor Investor Services Limited acted as scrutineer.

Key outcomes 1. Financial Statements: The audited consolidated results for the year ended 31 December 2025 were adopted with 100.00 % approval.

2. Board Composition: • Non-executive directors Mr. Li Jerry Y. and Mr. Zhu Minghui, and independent non-executive director Mr. Li Liang were re-elected, each receiving 100.00 % of votes cast. • The Board was authorised to fix directors’ remuneration (100.00 % approval).

3. Auditor: Prism Hong Kong Limited was re-appointed for the 2026 financial year with 99.99 % support; the Board will determine its fees.

4. Share Issuance Mandate: Directors received a refreshed mandate to allot and issue new shares up to 20 % of the company’s issued share capital, backed by 99.99 % of votes cast.

5. Share Buy-back Mandate: The company can repurchase up to 10 % of issued shares, approved with 100.00 % support.

6. Mandate Extension: Shares repurchased under the buy-back mandate can be added to the general issuance mandate, approved by 99.99 % of votes.

All directors attended the meeting in person or via electronic facilities, and no shareholders were required to abstain from voting on any resolution.
