Yuexiu Property Clinches HK$600.00 million Loan Package Tied to Controlling Shareholder’s Stake

Yuexiu Property Company Limited announced two new bank facilities totalling HK$600.00 million, both containing change-of-control covenants linked to its controlling shareholder, Yue Xiu Enterprises (Holdings) Limited.

Facility A: HK$450.00 million • Borrower: Leading Affluence Limited, a wholly-owned subsidiary • Tenor: Up to 18 months from first drawdown • Guarantor: Yuexiu Property Company Limited • Event of Default: Triggered if Yue Xiu’s direct or indirect holding in Yuexiu Property falls below 30%, if Yue Xiu ceases to be the single largest beneficial shareholder, or if Yue Xiu loses effective management control.

Facility B: HK$150.00 million • Borrower: Leading Affluence Limited • Final Maturity: 31 March 2027 • Guarantor: Yuexiu Property Company Limited • Event of Default: Identical shareholder-control conditions to Facility A.

Ownership Status As of the announcement date (31 March 2026), Yue Xiu Enterprises (Holdings) Limited holds approximately 44% of Yuexiu Property’s issued shares, comfortably above the 30% threshold stipulated in both facilities.

Board Composition (abbreviated) The board is led by Chairman Lin Zhaoyuan and comprises six executive directors, two non-executive directors and four independent non-executive directors.

The new financing arrangements provide Yuexiu Property with HK$600.00 million of incremental liquidity while reinforcing the strategic importance of Yue Xiu’s majority position in the company’s capital structure.
