China Shengmu Organic Milk Limited (China Shengmu) has issued a supplemental announcement to the 30 June 2026 Composite Document concerning the mandatory conditional cash offer launched by China Modern Dairy Holdings Ltd. (China Modern Dairy) through CLSA Limited. Key points are as follows:

• Shareholding Position: As of the latest practicable date, China Shengmu confirms it holds no shares, options, warrants, convertible securities or derivatives of China Modern Dairy.

• Trading Activity: During the relevant period defined under the Hong Kong Takeovers Code, China Shengmu conducted no value-for-value dealings in any securities of China Modern Dairy.

• Offer Mechanics: The cash offer covers all issued shares of China Shengmu not already owned or agreed to be acquired by China Modern Dairy and its concert party, Start Great.

• Shareholder Guidance: Offer shareholders are urged to review the Composite Document and accompanying Form of Acceptance, which include the independent financial adviser’s opinion and the recommendation of the China Shengmu Independent Board Committee.

• Compliance Reminder: Both companies advise their associates to observe the Takeovers Code’s dealing restrictions and reporting obligations.
