China United Venture Investment Limited (CU Venture Investment) has called a special general meeting (SGM) for 30 September 2026 to seek shareholder approval for two new equity incentive programmes—a Share Option Scheme and a Share Award Scheme.

The company currently has no active option or award plans. Both proposed schemes will share a single mandate covering up to 10% of CU Venture Investment’s issued share capital, equal to a maximum of 80.48 million shares based on the present total of 804.80 million shares outstanding. No treasury shares are earmarked for these grants at this stage.

Key provisions include: • Eligibility: Executive, non-executive and independent directors, employees, and designated related-entity participants. • Vesting: Minimum 12-month period, with limited exemptions for “make-whole” grants, death, accelerated performance-based awards and other specified circumstances. • Individual cap: Aggregate grants to any single participant cannot exceed 1% of issued shares in any 12-month period without separate shareholder approval. • Governance: Grants to connected persons such as directors or substantial shareholders trigger additional independent non-executive director review and, above certain thresholds, require shareholder approval. • Duration: Each scheme will run for 10 years from the adoption date. • Clawback: Awards may be forfeited or repurchased in cases of misconduct, breach of duties, or regulatory infractions.

If approved, both schemes aim to enhance talent attraction, retention and performance alignment by giving participants a direct stake in CU Venture Investment’s long-term growth. No options or awards have been granted or proposed ahead of shareholder endorsement.

The SGM will be held at the company’s Shenzhen office immediately after its annual general meeting. Shareholders as of the 24 September 2026 record date are eligible to vote. Proxy forms must be lodged with Union Registrars Limited at least 48 hours before the meeting.
