Kafelaku Coffee to Renew Share Issue & Buy-back Mandates, Re-elect Eight Directors at 24 Jun 2026 AGM

Kafelaku Coffee Holding Limited has issued a circular convening its Annual General Meeting (AGM) for 24 June 2026, 11:00 a.m. at Room 305, 3/F, Lippo Sun Plaza, 28 Canton Road, Tsim Sha Tsui, Hong Kong.

Key proposals to be tabled:

1. Renewal of General Mandates • Issue Mandate – Directors may allot, issue or otherwise deal in up to 20% of the existing issued share capital, equivalent to a maximum 282.05 million shares (based on 1,410.25 million shares in issue as at 20 April 2026 and excluding any treasury shares). • Repurchase Mandate – Authority to buy back up to 10% of issued shares, or 141.03 million shares, during the mandate period. • Extension – The Issue Mandate can be increased by the number of shares actually repurchased under the Repurchase Mandate. The company currently holds no treasury shares.

2. Board Changes – Re-election of Eight Retiring Directors • Executive Directors: Cui Zhiqiang (also Chairman), Cui Zifeng (also CEO), Ma Xiaoping, Ou Shu • Non-executive Director: Fung Wai Sim • Independent Non-executive Directors: Yang Chao, Huang Shan, Zhao Yuanyuan

3. Auditor • Re-appointment of Rongcheng (Hong Kong) CPA Limited as independent auditor and authorisation for the Board to fix its remuneration.

Timetable & Voting Arrangements • Register of Members will be closed from 18 June 2026 to 24 June 2026 (both days inclusive). Transfers must be lodged by 4:30 p.m. on 17 June 2026 to qualify for attendance and voting. • All resolutions will be decided by poll. Any treasury shares held by the company (if applicable in future) will not have voting rights.

Board Recommendation The Board considers renewal of the mandates and the re-election of directors to be in the best interests of both the company and shareholders and recommends voting in favour of all resolutions.

No share buy-backs were conducted in the six months preceding 20 April 2026. The company confirms that exercise of the Repurchase Mandate will not reduce public float below the 25% threshold nor trigger mandatory offer obligations under the Hong Kong Takeovers Code.
