Great China Holdings (HK) Sets 5 June 2026 AGM to Address Board Changes, Auditor Renewal and 20% Issuance Mandate

Great China Holdings (Hong Kong) Limited will hold its Annual General Meeting on 5 June 2026 at 10:00 a.m. at 9/F, 33 Des Voeux Road Central, Hong Kong.

Key resolutions to be tabled:

1. Financial Statements Shareholders will receive and consider the audited consolidated financial statements and the directors’ and independent auditor’s reports for the year ended 31 December 2025.

2. Board Composition • Re-election of Li Zhizhen as Non-executive Director. • Appointment of Eddie Shing Cheuk Kam as Independent Non-executive Director. • Authorisation for the board to fix directors’ remuneration.

3. Auditor Forvis Mazars CPA Limited is nominated for reappointment as external auditor, with remuneration to be set by the board.

4. General Mandates • Share Issuance: Directors seek authority to allot and issue shares up to 20 % of the company’s issued share capital (excluding treasury shares) as at the date of the resolution. • Share Repurchase: A separate mandate would allow on-market repurchases of up to 10 % of issued shares (excluding treasury shares). • Mandate Extension: Conditional on the above mandates being approved, the issuance limit may be enlarged by the number of shares actually repurchased, effectively permitting an additional 10 % issuance headroom.

5. Administrative Details • The register of members will be closed from 2 June 2026 to 5 June 2026 (both days inclusive). Share transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 1 June 2026 to qualify for attendance and voting. • All AGM resolutions will be decided by poll in accordance with Hong Kong Listing Rules. • Shareholders may appoint proxies; completed proxy forms must be deposited at Tricor Investor Services Limited at least 48 hours before the meeting.

The meeting will be adjourned if Typhoon Signal No. 8 or above, “extreme conditions” or a Black Rainstorm Warning is in force after 1:00 p.m. on the meeting day; any rescheduling will be announced via HKEX and the company’s website.
