JST Group (6687) Releases Remuneration Committee Terms of Reference

JST Group Corporation Limited (6687) has issued a document detailing the Terms of Reference for its newly established Remuneration Committee, formed by board resolutions on October 5, 2025. The committee’s membership requires at least three directors, with a majority being independent non-executive directors, and one of these independent directors serving as the committee’s chair.

According to the document, the Remuneration Committee’s responsibilities include making recommendations on the Company’s overall remuneration policy, reviewing and approving management’s remuneration proposals, and formulating arrangements for the compensation of directors and senior management. The committee is authorized to obtain external independent professional advice to carry out its duties and has access to all necessary information from directors and senior management.

The Terms of Reference also outline procedures for quorum, conflicts of interest, minutes keeping, and regular reporting to the board. The chair of the Remuneration Committee is expected to attend annual general meetings to address shareholder inquiries regarding the committee’s activities. The company will make these Terms of Reference available on both the Hong Kong Stock Exchange’s website and the Company’s website.
