开拓药业-B（09939）宣布高管调整：章明明辞任CFO，Joseph H J Cheng接任

2026年9月21日，开拓药业有限公司（09939，简称“开拓药业-B”）公告称，章明明因个人职业发展规划，于同日起辞去公司首席财务官（CFO）、联席公司秘书及香港《公司条例》下的法律程序文件代理人职务。章明明确认其与董事会无意见分歧，亦无其他须提请股东或香港联交所关注的事项。董事会表示，其离任不会对集团的财务运作及管理造成重大不利影响。

同日，董事会批准委任48岁的Joseph H J Cheng为公司新任CFO，自2026年9月21日起生效。Cheng先生拥有逾20年全球资本市场、企业融资及战略管理经验。加入公司前，他曾于2024年至2026年在天和资本担任合伙人；2015年至2024年出任多家拟上市公司的独立财务顾问；2011年至2015年担任世纪互联投资者关系负责人；2007年至2011年联合创办并经营Cooffer；2003年至2007年先后在Compagnie Financière Tradition及美国银行担任交易员。Cheng先生于2002年获罗格斯大学经济学文学学士学位，并于2010年获得马里兰大学工商管理硕士学位。

此外，公司任命练少娥为新的法律程序文件代理人，接替章明明，自2026年9月21日起生效。现任联席公司秘书黄伟超符合港交所《上市规则》第3.28及8.17条规定，将自同日起继续担任公司唯一公司秘书。

董事会对章明明的贡献表示感谢，并欢迎Cheng先生及练女士履新。
