兆易创新(03986)发布公告，董事会已审议通过回购部分A股股份的计划。回购资金总额不低于人民币10亿元且不超过人民币20亿元，拟动用公司自有资金及/或自筹资金，并按中国法律法规及香港上市规则规范执行。公司拟通过集中竞价交易方式进行回购，回购实施期限为股东大会通过后6个月内，回购股份的价格上限为每股人民币750元。
截至本次公告，公司总股本为701,745,034股，包括668,491,934股A股及33,253,100股H股。若按回购资金下限10亿元、回购价格上限750元/股测算，预计拟回购A股约133.33万股，占公司已发行总股本约0.19%；若按回购资金上限20亿元测算，拟回购A股约266.67万股，占公司已发行总股本约0.38%。公司表示，所有回购股份将依法注销并相应减少注册资本。
兆易创新指出，此次回购旨在维护股东整体利益，并增强投资者信心和提升公司价值。董事会认为，回购计划符合公司及全体股东的最佳利益。公司将于2026年8月20日下午2时30分召开2026年第二次临时股东大会审议本次回购议案，H股股份将于2026年8月17日至2026年8月20日期间停办过户登记手续。
