Man Sang International Limited has issued a circular convening its Annual General Meeting (AGM) for 11 September 2026 at Wheelock House, Central, Hong Kong. Key proposals include board changes, capital authorisations, and an audit firm switch.
Board composition • Re-election: Executive directors Ms Cong Wenlin and Mr Hu Yiming, together with independent non-executive director (INED) Mr Wong Kwan Kit, will retire and seek re-election. • Profiles: – Ms Cong, appointed June 2025, holds an MBA from the Central University of Finance and Economics and has 15 years’ experience in corporate finance. – Mr Hu, appointed August 2026, currently finance director and head of China operations (aviation segment) at Duofu International Holding Group. – Mr Wong, an INED since November 2018, is a fellow of HKICPA and serves as INED at two other Hong Kong-listed firms.
Share issuance and repurchase mandates • Issue mandate: Directors seek authority to allot and issue up to 20% of issued share capital, equivalent to a maximum of 129.44 million shares, with an additional extension for shares repurchased. • Repurchase mandate: Authority to buy back up to 10% of issued shares, or 64.72 million shares, on the Stock Exchange during the mandate period. The company held 647.20 million shares in issue as of 17 August 2026. • Substantial shareholding: China DaDi Group Limited and its owner Mr Hu Xingrong jointly hold 73.75% (477.33 million shares). A full utilisation of the buyback mandate would raise their stake to 81.95%, still below the Hong Kong Takeovers Code mandatory offer threshold but potentially narrowing the public float.
Auditor change and fees • CCTH CPA Limited resigned as auditor on 10 April 2026. • Rongcheng (Hong Kong) CPA Limited was appointed the same day to fill the vacancy and will seek formal appointment at the AGM. • Proposed audit fee for FY 2026/27 is HK$1.19 million, unchanged from the prior year.
Meeting logistics • Shareholders registered by 4:30 p.m. on 4 September 2026 may vote at the AGM. Proxy forms must reach Tricor Investor Services at least 48 hours before the meeting. • All resolutions will be decided by poll in line with Hong Kong Listing Rules.
