GBA集团（股票代码：00261）宣布，董事会计划寻求股东大会批准授予股份购回的一般授权，购回股份规模上限为最后实际可行日期（2026年4月22日）已发行股份总数的10%。截至该日期，公司已发行股份总数约为284,801,678股，理论上最多可回购28,480,167股。
根据公告，公司将依据百慕达法及香港联合交易所有关上市规则使用合法资金进行购回，董事会认为本次购回有助于提升公司的运营灵活性，有望进一步增强股东回报。在公告披露的过去12个月内，公司股票最高成交价为每股0.44港元，最低为0.227港元。
公司董事会表示，回购计划旨在优化公司资本结构，并在合理情况下提升每股资产价值与盈利水平。公司计划在2026年6月5日上午11点于香港九龙尖沙咀棉登径7–9号1楼多功能室召开股东周年大会，审议通过购回股份授权等相关事宜。期间，自2026年6月2日至6月5日，公司将暂停办理股份过户登记手续。股东如拟出席会议，应于2026年6月1日下午四时三十分前完成过户登记手续，并在股东周年大会召开时间48小时前（即不迟于2026年6月3日上午十一时正）提交授权代表委任表格。董事会认为，本次购回符合公司及股东的整体最佳利益。
