Shenyang Public Utility: All 2025 AGM Resolutions Pass with 100% Support; Board Secures 20% Share Issuance Mandate

Shenyang Public Utility Holdings Company Limited (Shenyang Public Utility) announced that shareholders overwhelmingly endorsed every item on the agenda at the 2025 Annual General Meeting (AGM) held on 26 June 2026.

• Voting turnout reached 55.46%, with 814.85 million shares cast out of the company’s 1.47 billion issued shares. All votes were in favour of each resolution; no votes were recorded against or withheld.

• Six ordinary resolutions received unanimous approval, covering: 1) the Board of Directors’ report for the year ended 31 December 2025; 2) the Supervisory Committee’s report for the same period; 3) the audited consolidated financial statements for 2025; 4) the auditor’s report; 5) the 2025 profit allocation and dividend distribution proposals; and 6) the re-appointment of Asian Alliance (HK) CPA Limited as external auditor, with the Board authorised to fix its remuneration.

• A special resolution granted the Board a general and unconditional mandate to allot, issue and deal with new Domestic Shares and H Shares not exceeding 20% of each share class’s existing issued capital as at the AGM date. The proposal secured 100% approval, comfortably surpassing the two-thirds threshold required for special resolutions.

Computershare Hong Kong Investor Services Limited acted as scrutineer for the poll, and all regulatory requirements under the Company Law, the Company’s Articles of Association and the Hong Kong Listing Rules were met.

All directors, except Mr. Zhang Jing Ming and Mr. Mao Hai Bin, participated in the AGM either in person or via electronic means.
