方达控股(01521)公告显示，公司拟于2026年6月2日召开股东周年大会，审议授予董事一般及无条件授权，以回购公司不超过已发行股份总数（不包括库存股份）的10%。据披露，截至最后实际可行日期，公司已发行股份总数为2,034,488,910股，若此次购回授权获通过并于有效期内获全部行使，方达控股可回购最多203,448,891股。
根据公司章程及开曼群岛公司法，购回所需资金可来自公司溢利、股份溢价账户或在香港上市规则允许范围内的其他合法来源。董事会指出，该计划将有助于提升每股资产净值及每股盈利，认为符合公司及股东的整体利益，并强调在实际购回时将确保不对公司的营运资金及资产负债状况造成重大不利影响。
公告还披露，公司过去12个月间的股价高点为每股1.87港元（2025年7月），低点为每股0.90港元（2026年1月）。方达控股将于2026年5月27日至6月2日（含首尾两日）暂停办理股份过户登记，以确定有资格出席股东周年大会并投票的股东。董事会同时建议股东于会议上审慎行使表决权。
