Vico International Plans Comprehensive Overhaul of Corporate Constitution Ahead of AGM

Vico International Holdings Limited announced a proposal to replace its existing memorandum and articles of association with an amended and restated version that reflects the latest regulatory and operational requirements set by Hong Kong Exchanges and Clearing Limited (HKEX).

The proposed changes aim to: 1. Align the company’s constitutional documents with HKEX’s expanded paper-less listing regime. 2. Introduce flexibility for the holding of treasury shares in accordance with the updated Listing Rules. 3. Facilitate participation in Hong Kong’s forthcoming uncertificated securities market. 4. Incorporate minor consequential and housekeeping amendments.

Implementation of the amended and restated memorandum and articles (the “New Memorandum and Articles”) is conditional upon shareholder approval via a special resolution at the forthcoming annual general meeting (AGM). A detailed circular outlining the amendments and the AGM notice will be dispatched to shareholders in due course.

The board currently comprises Executive Directors Hui Pui Sing (Chairman), Tong Man Wah, Hui Yip Ho Eric and Kong Man Ho, alongside Independent Non-Executive Directors Leung Ho Chi, Chan Ching Sum and Ng Wing Sze Vince.
