潍柴动力股份有限公司（02338）7月21日发布自愿性公告称，控股股东潍柴控股集团有限公司（下称“潍柴控股”）计划在深圳证券交易所通过集中竞价方式增持公司A股股份。 根据公告，潍柴控股拟投入资金不低于人民币2亿元且不超过人民币4亿元。本次增持不设定价格区间，将在公告之日起6个月内实施；若公司股票出现停牌，增持期限将在复牌后顺延。 资金来源方面，潍柴控股已获中国银行股份有限公司潍坊分行出具不超过人民币3.6亿元的增持专项贷款承诺函，贷款期限不超过36个月；除上述贷款外，其余资金将使用潍柴控股自有资金。 截至公告日，潍柴控股持有潍柴动力A股1,422,550,620股，占公司总股本约16.46%。潍柴控股承诺在增持期间及法定期限内不减持公司股票，并确认本次增持不会触发强制要约，也不会导致公司控股股东或实际控制人发生变化。 潍柴动力提示，增持计划可能因资本市场变化或其他不可预见因素而无法按预期完成，公司将根据监管要求及时披露相关进展。
