QXO Inc Plans $17 Billion Acquisition of TopBuild to Strengthen Building Products Portfolio

QXO Inc announced today that it has entered into a definitive agreement to acquire TopBuild Corp. for approximately $17 billion.

The transaction is expected to significantly expand QXO's business scale and comprehensive capabilities across the entire building materials industry chain. The acquisition is projected to immediately and substantially enhance the company's profitability upon completion.

TopBuild is the largest installer and distributor of insulation and related building products in North America. The merger will combine the strengths of both companies: QXO's leading positions in roofing, waterproofing, lumber, and complementary building products, with TopBuild's core capabilities in insulation. This integration aims to create a higher-margin business system and provide customers with more comprehensive value-added services.

The transaction has received unanimous approval from the boards of directors of both companies. It remains subject to the satisfaction of customary closing conditions, including approval by the shareholders of both companies. The acquisition is anticipated to be completed in the third quarter of 2026.
