MHI & SHP Postpone Dispatch of Share-Buyback Circulars to No Later Than 30 June 2026

Bulletin Express
Jun 01

Magnificent Hotel Investments Limited (MHI) and Shun Ho Property Investments Limited (SHP) jointly announced a delay in sending out their respective shareholder circulars related to a connected transaction involving the transfer of SHP shares, a possible off-market share buy-back, and a proposed special dividend initially disclosed on 10 May 2026.

Originally, SHP planned to issue its circular by 31 May 2026 and MHI by 01 June 2026. Both companies now target a revised deadline of no later than 30 June 2026 after securing in-principle consent from the Securities and Futures Commission’s Executive.

The extension is required to: 1) complete and verify the financial information—including the statement of indebtedness—needed in the circulars; and 2) finalise the independent financial adviser reports and board committee recommendations on the proposed share buy-back.

Key transaction components remain unchanged: • Transfer of SHP shares. • Potential off-market share buy-back governed by a Share Buy-back Agreement. • Consideration of a special cash dividend, subject to the same conditions outlined on 10 May 2026.

Both boards emphasised that the share buy-back and special dividend are contingent on fulfilment of stated conditions and may not proceed. Further announcements will confirm the actual dispatch dates of the circulars.

Shareholders and potential investors are advised to exercise caution when dealing in the securities of MHI and SHP until definitive information is released.
