Jolimark Holdings Limited announced the completion of its share placement on 12 June 2026, having fulfilled all conditions set out in earlier disclosures dated 26 May and 3 June 2026. A total of 122.58 million new shares were issued at HK$0.11 per share through a placing agent to not fewer than six independent investors.
The transaction generated net proceeds of approximately HK$13.00 million, which the company intends to deploy as general working capital, consistent with prior statements.
Post-placement, Jolimark’s issued share capital expanded from 612.88 million to 735.46 million shares. Key changes in ownership structure are as follows:
• Kytronics Holdings Limited’s stake diluted from 72.61% to 60.51%. • Kent C. McCarthy’s holding remained at 31.20 million shares, with his ownership ratio declining from 5.09% to 4.24%. • Other public shareholders maintained 136.65 million shares, now representing 18.58% of the enlarged capital. • The new placees collectively hold 122.58 million shares, equating to 16.67% of the total.
According to the board, all placees are independent third parties, and none has become a substantial shareholder under Hong Kong Listing Rules following the transaction.
