HATCHER GROUP (08365) Plans to Issue HK$12 Million Convertible Bonds to Acquire 2% Stake in Esperanza Fintech (Commodities) Limited

HATCHER GROUP (08365) announced that on September 29, 2025, the company intends to acquire 2% of the issued share capital of Esperanza Fintech (Commodities) Limited from Esperanza Fintech Holdings Limited for a consideration of HK$12 million, which will be fully satisfied upon completion through the issuance of convertible bonds to the vendor at a conversion price of HK$1.5 per conversion share.

According to the announcement, the target company, which is a wholly-owned subsidiary of the vendor, issues digitized gold-backed instruments. Holders can redeem one kilogram of 999.9 physical gold bars stored in a Hong Kong vault managed by Brink's (Hong Kong) Limited from the target company with 100,000 digital certificates, and the company facilitates trading through its platform.

The announcement stated that this equity investment aims to support the Group's ongoing strategy to expand new revenue sources in the digital assets sector, complementing its existing financial services business.
