ZIJIN GOLD INTL (02259) announced the establishment of the Board Risk and Internal Control Management Committee (the Committee) on December 23, 2025. The Committee aims to assist the board in fulfilling its oversight responsibilities regarding the company's comprehensive risk management and internal control systems, further improving corporate governance, strengthening risk prevention mechanisms, and enhancing internal control standards.

The Committee is responsible for reviewing and evaluating the company's overall risk management objectives, risk appetite, and management strategies. It oversees the development of the risk management framework (including organizational structure, policies, and mechanisms), continuously monitors major risks faced by the company, reviews risk assessment criteria, major risk strategies, risk management plans, and related reports, and guides the cultivation of a risk management culture within the company.

Operating within the board's authorized scope, the Committee deliberates, assesses, and provides recommendations on matters related to comprehensive risk management to ensure the company maintains an effective and robust risk management and internal control framework.

Mr. Guo Xianjian, an executive director of the company, has been appointed as Chairman of the Committee, while executive directors Mr. Huang Zhihua and Mr. Rao Jia have been appointed as members, effective December 23, 2025.
