Kangda International Environmental (6136) Announces Revised RMB127.10 million Asset Transfer Agreement

On 24 February 2026, Kangda International Environmental Company Limited (6136) disclosed a revised agreement concerning the transfer of concession rights and facilities related to a Dongping County wastewater treatment plant. The Subject Assets, held by indirectly wholly-owned subsidiary Dongping Kangda Water Company Limited, will be transferred to Dongping County Taida for RMB127.10 million.

The agreement amends previous payment arrangements and replaces a buyback arrangement announced on 14 January 2026. According to the revised terms, Dongping County Taida will fulfill payment in several installments, with the first installment of RMB64.00 million due within 30 days of signing. Subsequent installments will be made upon completion of stipulated debt settlements, asset transfer procedures, and tax liabilities. The transaction remains subject to requirements under Chapter 14 of the Listing Rules.

Unaudited figures show the net book value of the transferred assets at RMB137.10 million as of 30 September 2025. Based on estimates, the deal may result in a loss of approximately RMB18.10 million after taxes and expenses of about RMB8.10 million. The net proceeds of roughly RMB119.00 million are expected to be allocated as general working capital. The company’s board believes the transaction will save substantial operating costs, generate immediate cash inflow, and allow management to focus on other concession projects.
