宏华集团（股票代码：00196）宣布，根据最新通函，董事会计划向股东大会寻求一般授权，允许公司在适用法律和组织章程范围内回购最多相当于已发行股本（不包括库存股份）10%的股份。若自最后实际可行日期至股东大会期间股本没有变动，宏华集团可回购上限为约9.04亿股。
董事会表示，回购所需资金将来自可合法用于此用途的内部资源，符合开曼群岛公司法及相关上市规则。公司方面称，此举有助于提升股东回报、优化资本结构，董事会认同这符合公司及股东的整体利益。公告显示，2025年5月至2026年6月（最后实际可行日期），宏华集团股价最高达0.260港元、最低为0.139港元。
股东周年大会预计于2026年6月30日上午举行。公司同时提醒，为确定有权出席并投票的登记日期，股份过户登记将于2026年6月25日至6月30日暂停办理。若授权获得批准，董事会有权于适当情况下进行股份购回，但截至发布公告时尚无执行该回购的明确计划。
