XIAO NOODLES Reports 2.33 Million Shares Repurchased under June 2026 Mandate; Issued Share Capital Unchanged

Guangzhou Xiao Noodles Catering Management Co., Ltd. (H-shares: “XIAO NOODLES”) has released a Next Day Disclosure Return outlining the latest status of its share capital and buy-back programme as of 31 August 2026.

• Issued Share Capital Stable The company’s issued share capital stood at 710.69 million H-shares both at the opening (28 August 2026) and closing (31 August 2026) balances. No new shares were issued, and no treasury shares were cancelled during the period under review.

• Incremental Buy-Back on 31 August 2026 On 31 August, XIAO NOODLES repurchased 1,500 H-shares on the Hong Kong Stock Exchange at HKD 3.97 per share, for a total consideration of HKD 5,955. These shares are earmarked for cancellation.

• Cumulative Repurchases Since February 2026 Including the latest transaction, the company has bought back 2.33 million shares since the current mandate was approved on 25 June 2026. This represents 0.33% of the issued share base at the mandate date. All repurchases have been executed on the Exchange in full compliance with Main Board Rule 10.06(4)(a).

• Pending Cancellations As of 31 August 2026, 7.12 million shares (aggregated from 91 separate repurchase transactions conducted between 3 February and 31 August 2026) remain repurchased but not yet cancelled. The repurchase prices ranged from HKD 3.06 to HKD 5.96 per share.

• Repurchase Capacity and Moratorium Under the June mandate, XIAO NOODLES is authorised to repurchase up to 71.07 million shares. Following the 2.33 million shares already bought back, approximately 68.74 million shares, or 9.68% of current issued capital, remain available for repurchase. Pursuant to Hong Kong listing rules, the company is restricted from issuing new shares or disposing of treasury shares until 30 September 2026.

• Governance Confirmation The board affirms that all repurchase activities were duly authorised and executed in accordance with Hong Kong Stock Exchange listing rules and relevant regulations. All proceeds were settled, and there have been no material changes to the April 2026 Explanatory Statement filed with the Exchange.
