Nameson Holdings Proposes New Share Option Scheme Ahead of 2016 Plan Expiry

Nameson Holdings Limited has announced plans to adopt a New Share Option Scheme, subject to shareholder approval at the forthcoming annual general meeting. The initiative follows the scheduled expiry of the company’s existing scheme, adopted on 29 January 2016, which will cease granting options after 11 April 2026.

The proposed scheme will run for a maximum of 10 years from its adoption date and is designed to align management and employee interests with long-term shareholder value, attract and retain key talent, and reward contributions to group growth.

Eligibility extends to full- and part-time employees, executive directors, and non-executive directors of the company and its subsidiaries. The aggregate number of shares issuable under the new scheme, together with any other share-based plans, is capped at 10% of the company’s issued share capital on the adoption date (the “Scheme Mandate Limit”).

Options must be held for at least 12 months before exercise unless specific exceptions—such as replacement awards for new hires, death, disability, or administrative timing—apply. The option period for each grant will not exceed 10 years.

The subscription price will be set at the higher of: (i) the closing price of the company’s shares on the Hong Kong Stock Exchange on the offer date, and (ii) the average closing price for the five trading days immediately preceding the offer date. No performance targets or clawback provisions will generally apply, except where options are granted as inducements to new employees.

Implementation of the New Share Option Scheme is conditional on both shareholder approval and the Stock Exchange granting listing and dealing permission for shares to be issued under the Scheme Mandate Limit. The company will circulate a detailed circular and AGM notice to shareholders in due course.
