Greentown China Holdings Limited (Greentown China) announced a broad overhaul of its board and committee lineup, effective 30 March 2026. The changes affect executive, non-executive and independent non-executive positions, as well as key board committees.
Key departures • Executive Director and Chief Executive Officer Guo Jiafeng retired after 27 years with the Group, resigning from the board, the Environmental, Social and Governance Committee and all other internal posts. • Non-executive Director Andrew On Kiu Chow and Independent Non-executive Director Zhu Yuchen stepped down to pursue personal commitments. Zhu also vacated seats on the Audit and Remuneration Committees and the chairmanship of the Nomination Committee.
New appointments • Executive Director Geng Zhongqiang, aged 53, was named Acting Chief Executive Officer in addition to his current directorship. Geng, a senior accountant with extensive operating experience at China Communications Construction and its affiliates, joined Greentown China in July 2019 and holds 3.72 million shares (0.147% of issued capital). • Kevin Kwok Pong Chan, aged 65, joined the board as a Non-executive Director. A chartered civil engineer, Chan has served as a director of The Wharf (Holdings) Limited since 2015 and oversees mainland China development projects for the group. His initial three-year term carries an annual director’s fee of RMB0.40 million. • Xiong Liangjun, aged 63, became an Independent Non-executive Director and member of the Audit, Nomination and Remuneration Committees. A senior economist, Xiong brings more than three decades of experience in banking supervision and regulation, including senior roles at the People’s Bank of China and China Banking Regulatory Commission. He will receive annual remuneration of RMB0.40 million. • Board Chairman Liu Chengyun assumed the role of Chairman of the Nomination Committee following Zhu’s departure.
Post-reshuffle board composition The board now comprises Chairman and Non-executive Director Liu Chengyun; Executive Directors Geng Zhongqiang (also Acting CEO), Li Jun and Hong Lei; Non-executive Directors Stephen Tin Hoi Ng and Kevin Kwok Pong Chan; and Independent Non-executive Directors Jia Shenghua, Hui Wan Fai, Qin Yuemin and Xiong Liangjun.
Greentown China stated that all departing directors confirmed no disagreements with the board and no matters requiring shareholder attention were identified.
