2026年3月16日，潍柴动力股份有限公司（股票代码：02338）发布翌日披露报表，宣布于当日完成回购并注销1,184,200股限制性A股，占回购前已发行股本的约0.02%。本次回购注销后，公司已发行股本从6,770,541,296股降至6,769,357,096股。
根据公告，本次限制性A股回购价格为每股人民币4.894元，总计回购支付金额为人民币6,026,203.70元（含支付予部分激励对象的同期银行存款利息）。公司董事会此前已于2025年12月19日根据股东大会及相关类别股东大会的授权，批准回购并注销上述限制性股份。
公告明确，公司本次股份变动及支付安排符合香港联合交易所有限公司证券上市规则及其他适用法律法规的相关要求，所有程序均已获得公司董事会正式授权，并已履行相应审批手续。
