AMCO United Holding Limited has issued a notice convening its annual general meeting (AGM) for 26 June 2026 at 3:00 p.m. in Central, Hong Kong. Key matters to be considered include:

• Financial Statements and Auditor’s Report Shareholders will vote to receive and adopt the audited consolidated financial statements and the directors’ and independent auditor’s reports for the year ended 31 December 2025.

• Board Composition and Remuneration Re-election is proposed for Executive Director Mr. Jia Minghui and Independent Non-executive Directors Mr. Au Yeung Ming Yin Gordon and Ms. Li Sisi. The Board will also seek authority to fix directors’ remuneration.

• Auditor Re-appointment CCTH CPA Limited is nominated for re-appointment as independent auditor, with the Board empowered to determine its remuneration.

• General Mandates 1. Share Issue Mandate – Directors may allot and issue shares up to 20% of the company’s issued share capital during the mandate period. 2. Share Buy-back Mandate – The company may repurchase up to 10% of its issued shares. 3. Mandate Extension – Conditional upon approval of the above two mandates, the share issue limit may be increased by the number of shares repurchased.

• 2026 Share Option Scheme Shareholders will vote on adopting a new share option scheme and a scheme limit allowing option grants over shares representing up to 10% of the company’s issued share capital (excluding treasury shares) as at the approval date.

• Administrative Details The share register will be closed from 22 June 2026 to 26 June 2026 (both days inclusive). Shareholders must lodge transfers by 4:30 p.m. on 21 June 2026 to qualify for AGM attendance and voting.
