叶氏化工集团（股票代码：00408）公告显示，公司董事会建议在即将召开的股东周年大会上，向股东寻求一般授权，以在必要时行使回购公司股份的权力，最高可回购不超过于决议案通过当日已发行股份（不包括库存股份）总数10%的股份。截至公告日，叶氏化工集团已发行缴足股份数量为558,460,096股；若股东大会批准并在董事会适当情况下行使该项授权，公司最多可回购55,846,009股。
公司表示，本次股份购回计划将按照开曼群岛公司法和香港联合交易所有限公司证券上市规则等适用法规进行，所需资金来自公司可动用盈余。董事会认为，适时进行股份回购有助于提升股东回报与改善资本架构，符合公司及全体股东的整体最佳利益。公司亦强调，其将遵从上市规则中有关维持公众持股量要求的规定，避免回购导致公众持股量低于25%。本次购回安排仍需于6月4日召开的股东周年大会上以普通决议案获得通过，届时公司将视市场情况灵活实施。另据公告，公司拟依据股东决议案授权，出售或转让回购并以库存方式持有的股份。公司董事会指出，此举能为股东带来积极影响，不存在损害任何股东合法权益的情形。
