江西铜业股份(00358)近日公告称，全资子公司江西铜业(香港)投资有限公司对SolGold plc全部已发行及将发行股本的要约已于2026年3月4日（伦敦当地时间）正式生效。此前，该企业于2025年12月24日首次发布相关信息，并在2026年2月24日与3月3日公布了交易进展。
要约价格为每股28便士现金。目标公司核心资产Cascabel项目的Alpala矿床已完成预可研，探明、控制及推断资源量包含铜1,220万吨、金3,050万盎司、银10,230万盎司，其中证实和概略储量的铜为320万吨、金940万盎司、银2,800万盎司。
交易完成后，预计将显著提升该企业的资源储量规模与保障能力，并有助于推动海外战略和全球资源布局，为高质量可持续发展及长期核心竞争力的提升创造更广阔空间。
公告同时提示，目标公司旗下矿业项目尚未投产，勘探、设计、建设与运营需投入显著的时间、资金和专业技能，相关风险仍需引起关注。
