2026年8月31日，海尔智家股份有限公司（06690）公告称，其已完成部分回购股份的注销手续，注销股份数量为74,541,486股，占注销前总股本的0.795%。本次注销后，公司总股本由9,377,629,650股减少至9,303,088,164股。
根据公告，本次注销的股份来自公司A股回购专户，注销完成后，该专户剩余52,884,289股，仍可用于后续实施员工持股或股权激励计划。
股本结构方面，截至2026年8月31日：
1. A股股份减少至6,178,486,925股，占总股本的66.413%；其中回购专户持股52,884,289股，占总股本的0.568%。
2. D股股份保持271,013,973股，占比2.913%。
3. H股股份保持2,853,587,266股，占比30.674%。
公司表示，本次回购股份注销将于2026年9月1日办理完成，相关手续符合《上市公司股份回购规则》等法律法规，不影响公司的经营、财务状况及控制权。注销实施后，海尔集团公司及其一致行动人的持股比例将在持股数量不变的情况下从34.487%被动提升至34.763%。
债权人通知期已于2026年8月9日届满，期间公司未收到任何异议或清偿、担保要求。公司后续将按照法规办理工商变更登记及章程修订等事宜，并持续通过上海证券交易所网站等渠道披露相关信息。
