华润医药集团有限公司（03320）7月15日公告，其间接非全资附属公司华润双鹤药业股份有限公司已参与由四川久远投资控股集团有限公司及四川化材科技有限公司通过公开征集转让方式出售的利尔化学股份有限公司（002258.SZ）股份项目，并被确认为排名第一的意向受让方。 \n\n 根据公告，待转让股份为188,102,749股，约占利尔化学已发行股本的23.50%。目前，华润双鹤并未持有利尔化学任何股权。 \n\n 利尔化学主要从事高效、低毒、低残留且安全的农药有效成分及农药制剂的研发、生产和销售。 \n\n 华润医药自2022年起通过华润双鹤布局合成生物领域，已构建七大技术平台，重点覆盖原料药中间体、保健类新食品、植保动保和新材料新能源四大方向。公司称，此次潜在收购符合集团整体战略规划，有助于推动合成生物储备技术产品的产业化落地。 \n\n 公告指出，潜在收购仍需签署相关交易协议并满足其中条款方可作实。截至公告日，双方尚未订立任何最终交易协议，交易能否完成尚存在不确定性。公司提醒股东及潜在投资者在买卖公司证券时保持审慎。
