AV Concept Sets 4 Sep 2026 AGM; Board Proposes HK 2.00 Cents Final Dividend and New Share Mandates

AV Concept Holding Limited has issued its Form of Proxy outlining resolutions for the forthcoming Annual General Meeting (AGM), scheduled for 11:00 a.m. on 4 September 2026 at The Conference Room, 6th Floor, Enterprise Square Three, Kowloon Bay, Hong Kong.

Key agenda items:

1. Financial Reporting and Dividend • Shareholders will vote on receiving the audited consolidated financial statements and the directors’ and auditor’s reports for the financial year ended 31 March 2026. • The board recommends a final dividend of HK 2.00 cents per share for FY 2025/26.

2. Board Composition and Remuneration • Re-election of two directors: Dr. Lui Ming Wah, PhD, SBS, JP and Mr. Lai Yat Hung Edmund. • Authorisation for the board to determine directors’ remuneration.

3. Auditor Appointment • Proposal to re-appoint Ernst & Young as external auditor and to authorise the board to set its remuneration.

4. Capital Authorisations • General mandate permitting the directors to issue, allot and deal with additional shares up to 20% of the company’s issued share capital (excluding treasury shares) as at the AGM date. • Authority to repurchase shares not exceeding 10% of the issued share capital (excluding treasury shares). • Extension of the issuance mandate by adding the number of shares repurchased under the buyback mandate.

Administrative details:

• Shareholders wishing to appoint a proxy must submit the completed form to Tricor Investor Services Limited, 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, no later than 48 hours before the meeting. • Each shareholder is entitled to one vote per fully paid share on a poll and may appoint multiple proxies if desired. • Attendance in person overrides any proxy instructions previously lodged.

The resolutions, if approved, will finalise FY 2025/26 financial reporting, confirm dividend distribution, refresh board composition, secure auditor continuity, and provide the board with flexibility for future capital management.
