National United Resources (254) Announces Annual General Meeting and Proposed Resolutions

National United Resources Holdings Limited (Stock Code: 254) has scheduled an annual general meeting on 27 November 2025, at 11:00 a.m., at 2/F, 35-45B, Bonham Strand, Sheung Wan, Hong Kong. Shareholders are invited to consider adopting the audited financial statements for the year ended 30 June 2025, along with receiving reports from the board of directors and the auditor.

The meeting agenda includes a proposal to re-elect two directors: Executive Director Ms. Mao Na and Independent Non-Executive Director Mr. Zhang Hao. Shareholders will also vote on authorizing the board to fix director remuneration. A resolution will be put forward to re-appoint ZHONGHUI ANDA CPA Limited as auditor, with the board authorized to fix its remuneration.

Under special businesses, the company seeks approval to allot and issue additional shares not exceeding 20% of total issued shares and to buy back up to 10% of issued shares, subject to the relevant requirements. An associated resolution would extend the general mandate accordingly by adding the aggregate number of shares repurchased.

According to the announcement, the register of members will be closed from 21 November 2025 to 27 November 2025, with 20 November 2025 being the deadline for share transfers for voting eligibility. Proxy arrangements and instructions for attending the annual general meeting are also included in the notice.
