New Gonow Recreational Vehicles Inc. (Stock Code: 0805) released details of a continuing connected transaction involving the revision of existing annual caps under its RV Parts Purchase Framework Agreement. According to the announcement, the company’s indirect wholly-owned subsidiary entered into a supplemental agreement on August 29, 2025, revising the annual caps for procurement from Shangqiu Jishun, a 30%-controlled company of a key stakeholder.

The existing annual caps for the years ending December 31, 2025 and December 31, 2026 had been RMB18.99 million and RMB19.89 million, respectively. In light of rising demand for a broader variety of RV parts—particularly for recently launched hybrid off-road towable RV models and anticipated expansions to the product lineup—the revised caps are set at RMB29 million for 2025 and RMB33 million for 2026. The pricing structure involves a semi-annual review of market rates and reference to third-party quotations.

An extraordinary general meeting is scheduled for December 15, 2025 at 9:30 a.m. in Tongxiang, Zhejiang Province, to seek independent shareholders’ approval. Relevant parties who hold substantial stakes and have a material interest will abstain from voting. Both the independent board committee and the independent financial adviser concluded that the revised annual caps are fair and reasonable and in the company’s ordinary course of business.
