Bank of Jiujiang Co., Ltd. (06190, “Bank of Jiujiang”) has released a circular dated 6 August 2026 convening its 2026 Second Extraordinary General Meeting (EGM) and class meetings on 21 August 2026 in Jiujiang, Jiangxi. Two special resolutions will be tabled:
1. Adjustment of sub-authorisations • The Board proposes to retain full decision-making power over core parameters (“Decision-related Matters”) of the planned non-public issuance of domestic shares. • Only implementation-level issues (“Transactional Matters”) will remain sub-delegated to designated executives. • The move is intended to “optimise decision-making procedures” and accelerate the offering timetable.
2. Confirmation of key terms for the domestic share issuance • Issue price set at RMB 7.29 (approximately HK$8.38) per share. • Aggregate placement size confirmed at 494.20 million new domestic shares, drawn from the previously approved cap of up to 860 million shares. • Subscribers include Jiujiang Finance Bureau and at least six additional domestic investors.
Governance and voting arrangements • Because Jiujiang Finance Bureau and Industrial Bank are subscribing, they and their associates—holding 14.26% and 10.34% of the bank’s issued share capital respectively—will abstain from voting on the two resolutions at both the EGM and the domestic shareholders class meeting. • All resolutions will be voted on by poll. The register of members will close from 20–21 August 2026, with share transfer cut-off at 4:30 p.m. on 19 August 2026.
Meeting logistics • The EGM is scheduled for 10:00 a.m. on 21 August 2026, followed consecutively by the second domestic and H-share class meetings. • Shareholders unable to attend in person must lodge proxy forms at Computershare Hong Kong Investor Services Limited (H shares) or the bank’s board office (domestic shares) at least 24 hours before the meetings.
Board recommendation The board, including all independent non-executive directors, recommends shareholders vote in favour of both special resolutions to streamline the issuance process and ratify the confirmed terms of the domestic share placement.
