S-Enjoy Service Group (1755) Announces Change of Joint Company Secretary and Continued Trading Suspension

S-Enjoy Service Group Co., Limited (the “Company,” stock code: 1755) has announced that its current joint company secretary, authorized representative, and process agent, Ms. Ng Sau Mei, will resign effective 27 October 2025. According to the Company, Ms. Ng has no disagreement with the board of directors, and there are no matters that require the attention of shareholders or the Hong Kong Stock Exchange.

Concurrently, the Company has appointed Ms. Tsui Ka Yan as the new joint company secretary, authorized representative, and process agent, also effective 27 October 2025. Mr. Chen Peng, who joined the Seazen Group in January 2006 and later served in various roles at Seazen Holdings Co., Ltd. (listed on the Shanghai Stock Exchange, stock code: 601155), will continue to serve as the other joint company secretary.

In parallel with the appointment, the Hong Kong Stock Exchange has granted the Company a revised waiver from strict compliance with Rules 3.28 and 8.17 of the Listing Rules regarding Mr. Chen’s eligibility to act as a joint company secretary. The waiver is valid through 6 November 2027, provided Mr. Chen is assisted by Ms. Tsui during the period and that there are no material breaches of the Listing Rules.

The Company’s shares remain suspended from trading on the Hong Kong Stock Exchange, having been suspended at 9:00 a.m. on 1 April 2025, with no announced date for resumption. The board of directors states that the Group’s operations continue to be stable.
