Chiho Environmental Group Limited announced the immediate removal of Executive Director Qin Yongming from the Board, effective 1 June 2026. The decision was executed under Article 105(h) of the company’s amended and restated articles, which permits dismissal by written notice signed by at least three-quarters of incumbent directors; five directors endorsed the action, exceeding the threshold.

Qin’s departure also vacates several leadership posts. He simultaneously ceased to serve as chairman of the Board, the Executive Committee, the Nomination Committee, the Strategy and Investment Committee, and the Pricing Committee. The Board has additionally removed him from all other positions and appointments within the group.

The restructuring was initiated by the administrator overseeing the controlling shareholders’ reorganisation and is described by the Board as being in the best interests of the company and its shareholders. Management stated the change will not materially affect ongoing operations, and Qin’s responsibilities will be reallocated once suitable candidates are found.

Effective 1 June 2026, independent non-executive director Wu Jian has been appointed chairperson of the Nomination Committee, which now consists of Wu Jian (chairperson), Yao Xiang, Ng Man Fung Walter and Choi Wai Hong Clifford. Chairmanships for the Executive, Strategy and Investment, and Pricing Committees remain open pending future appointments.

As of the announcement date, the Board comprises Executive Directors Chu Yuejiang and Yao Xiang, and Independent Non-Executive Directors Ng Man Fung Walter, Wu Jian and Choi Wai Hong Clifford.
