港誉智慧城市服务(股份代号：00265)于公告中披露，董事会已获授一般及无条件授权，可于股东周年大会批准后，于香港联交所或其他交易所根据适用法律及上市规则，以财务资源合法可行的方式回购本公司最多相当于已发行股本10%的股份。截至最后实际可行日期，公司已发行股份约为258,441,510股，若该授权获全数行使，最多可购回25,844,151股。
董事会表示，本次股份购回的主要目的是维护公司价值与股东利益，同时优化资本结构，符合港誉智慧城市服务及股东整体利益。公司计划使用可合法作此用途的资金进行购回，并将遵守开曼群岛公司法及香港上市规则有关回购事宜的条文规定。公司股东周年大会订于2026年6月29日上 午11时在香港皇后大道东28号金钟滙中心16楼B室召开，届时将审议包括购回股份授权在内的多项决议。
