UBTECH Robotics (Stock Code: 09880) will convene its 2026 third extraordinary general meeting on 26 August 2026 at 4:00 p.m. in the JIMU Conference Room, 25/F, Building C1, Nanshan Smart Park, Shenzhen.

Key resolutions to be tabled:

1. Arrangement of Bank Credit (Ordinary) • Seeks shareholder approval for a new bank-credit arrangement. • Authorises the legal representative, or an authorised delegate, to execute all related legal documents within 12 months of approval.

2. Proposed Change in Use of Proceeds (Ordinary) • Requests consent to amend the allocation of previously raised funds.

3. H-Share Incentive Scheme (Special) • Proposes the adoption of an equity-based incentive plan for H-share holders.

4. Authorisation to Board/Delegates (Special) • Empowers the Board or its delegates to handle all matters arising from the H-Share Incentive Scheme.

Meeting logistics and voting:

• All resolutions will be decided by poll in accordance with the company’s articles of association and HKEX Listing Rules. Poll results will be released on the HKEX and company websites. • Shareholders wishing to vote by proxy must submit completed forms to Tricor Investor Services (Hong Kong) or the company’s registered office in Shenzhen by 4:00 p.m. on 25 August 2026. • The share register will be closed from 21 August 2026 to 26 August 2026 (both dates inclusive). Transfers must be lodged by 4:30 p.m. on 20 August 2026 to qualify for attendance and voting.
