天平道合控股有限公司(“天平道合控股”或“Dowway”，股份代号：8403)公告显示，要约人孙维于完成收购28,645,000股及其一致行动人士CN BASE收购25,987,500股后，合计持有约54,632,500股，占公司已发行股本约35.48%，因而触发强制性要约规定。
要约价格为每股0.50港元，涉及收购除要约人及一致行动人士已持有股份外的全部已发行股份，最高覆盖约99,367,500股。要约人表示，将以内部资源及融通安排支付收购所需资金，并无意终止天平道合控股现有主要业务，亦计划维持其在联交所的上市地位。
本次要约的独立董事委员会已委任独立财务顾问，就要约是否公平合理及是否接纳提出意见。公告称，要约的接纳截止时间暂定于2026年2月5日(星期四)下午四时正，有关程序和详情以公告及接纳表格为准。
