Singapore, August 5, 2026 – Raffles Education Limited (NR7) has issued 30,769 new ordinary shares after bondholders exercised S$2,000 in principal amount of the company’s outstanding convertible bonds at a fixed conversion price of SGD 0.065 per share.
Following the conversion, the group’s issued share capital rose to 1,819,474,395 shares, up from 1,819,443,626 previously. The newly issued shares rank pari passu with existing stock.
The principal amount of Raffles Education’s outstanding convertible bonds has fallen to SGD 38.368 million from SGD 38.370 million.
The conversion shares will be listed and start trading on the SGX Mainboard at 9:00 a.m. on August 6, 2026.
The bonds were originally issued in August 2022 through a rights issue and placement to provide working capital and fund the group’s expansion plans. No adjustment to the conversion price was triggered by corporate actions; the conversion was executed at the pre-agreed rate set out in the 30 August 2022 trust deed.
