Scholar Education Group (Stock Code: 1769) Announces Extraordinary General Meeting to Refresh Share Scheme Mandate Limits

Scholar Education Group (Stock Code: 1769) has issued a notice of its upcoming Extraordinary General Meeting (EGM). The meeting is scheduled to take place on Friday, 13 March 2026 at 10:30 a.m. at 43/F, Shenrun Building, No. 1001 Shennan East Road, Luohu District, Shenzhen, the People’s Republic of China.

According to the notice, the EGM will consider two ordinary resolutions. The first resolution seeks to refresh the Scheme Mandate Limit under the 2024 Share Scheme, allowing the company to grant new awards up to 10.00% of the total number of shares in issue as of the date of passing the resolution. Any options or awards previously granted will not be counted toward this new limit.

The second resolution aims to refresh the Service Provider Sublimit, which applies to awards granted to eligible service provider participants. If passed, the total number of shares allowable for new awards under this sublimit will not exceed 1.00% of the company’s issued shares as of the date of passing the resolution.

The register of members of Scholar Education Group will be closed from Tuesday, 10 March 2026 to Friday, 13 March 2026. Shareholders wishing to attend and vote at the EGM should ensure that all share transfers are lodged with the Hong Kong share registrar on or before Monday, 9 March 2026. The proposed resolutions will be decided by poll at the EGM.
