HP Living Technology Company Limited (HP Living Tech) released a circular dated 19 August 2026 detailing resolutions to be tabled at the Annual General Meeting (AGM) scheduled for 11:30 a.m. on 18 September 2026 in Hong Kong.

Key agenda items are as follows:

1. General mandate to issue new shares • The Board seeks authority to allot, issue or deal with up to 20% of the company’s issued share capital as at the AGM date. • Based on 1,571.85 million shares in issue on the latest practicable date, the mandate would allow up to 314.37 million additional shares. • The mandate will remain effective until the next AGM, expiry of the statutory period for holding the next AGM, or revocation by shareholders, whichever is earliest. • The Board currently has no immediate plan to issue new shares beyond those that may arise from the share option scheme.

2. Re-election of directors • Six directors—executives Lam Kai Yeung, Ng Hoi and Zhang Kaiyuan, and independent non-executives Chan Kin, Chau Chi Yan Benny and Wong Ping Fan—will retire by rotation and offer themselves for re-election. • The nomination committee confirmed that all three independent non-executive directors meet the independence criteria under Listing Rule 3.13.

3. Re-appointment of auditor • ZSZH (HK) Fuson CPA Limited is nominated for re-appointment as external auditor. • The estimated audit fee for the financial year ending 31 March 2027 is HK$0.50 million–HK$0.60 million, subject to final confirmation by the Board.

4. AGM logistics and voting • Shareholders of record by 14 September 2026 may attend and vote. • Proxy forms must be lodged with Tricor Investor Services by 11:30 a.m. on 16 September 2026. • All resolutions will be decided by poll, with results published on the websites of the Stock Exchange and the company after the meeting.

The Board recommends shareholders vote in favour of all proposed resolutions, citing alignment with the interests of both the company and its shareholders.
